End-User License Agreement

This is a license agreement and not an agreement for sale. This license agreement (Agreement) is between the end-user (Licensee or you) and Global Mapping International (GMI), and gives Licensee certain limited rights to use the geographic data, tabular data, layer files, sample map projects, and installer (Data and Related Materials). All rights not specifically granted in this Agreement are reserved to GMI.

  1. Reservation of Ownership and Grant of License: GMI and its third party licensor(s) retain exclusive rights, title, and ownership of the copy of the Data and Related Materials licensed under this Agreement and, by issuance of an unlocking code, grant to Licensee a personal, nonexclusive license to use the Data and Related Materials subject to the terms and conditions of this Agreement. From the date of receipt, Licensee agrees to use reasonable effort to protect the Data and Related Materials from unauthorized use, reproduction, distribution, or publication.
  2. Copyright: Software, Data, and Related Materials are copyrighted under U.S. and international conventions by Global Mapping International (GMI) and its licensors.
  3. Single-Workstation License: Unless the Licensee has purchased additional workstation licenses or an explicit, written multiple-workstation or site license, the Data and Related Materials may be used on a single end-user workstation computer only. The Data and Related Materials may be installed on a network file or spatial data server, but solely for use by workstation computers for which licenses have been obtained. Use of the Data and Related Materials or maps produced with them on a map server or other device giving users control of the extent or composition of maps is not permitted except by an explicit, written license.
  4. Other Licenses: All software needed to use this product (other than the included installation software) must be separately licensed by the end-user. If any software is included on the distribution media, use of such software is subject to the terms of license agreements included in its installers or accompanying documentation.
  5. Designated End-User: The Licensee organization must identify to GMI an individual end-user who will have oversight of the system and be responsible for organizational compliance with this license.
  6. License Transfers: This license may be transferred only to another Licensee with the prior, written permission of GMI. The current Licensee must transfer all versions of distribution media received, and must remove all electronic forms of the Data and Related Materials, including derivatives, from current Licensee's computers.
  7. Upgrade License: If this product was purchased as an upgrade, this license supersedes the license of any previous versions of the Data and Related Materials. Previous versions of the data and its distribution media may be retained by the Licensee, returned to GMI, or destroyed, but may not be transferred unless all versions received are transferred as described above.
  8. Derivative Data: Licensee may produce and retain on the same physical computer medium as the Data and Related Materials derivatives of the Data and Related Materials in electronic form, including, but not limited to, conversions of the data into other data formats, extracts or aggregations of the data, graphical or cartographic representations of the data, or revisions to the data. Such derivatives are for the exclusive use of the Licensee, not for resale or other commercial purposes.
  9. Backups: Licensee may make and retain in the Licensee's possession such copies of the Data and Related Materials and any derivative works as may be required for archival backup purposes.
  10. Redistribution of Data to Other Licensees: Licensee may redistribute geographic, attribute, or project data partially derived from the Data and Related Materials to other Licensees of the same data product, provided:
    • 10.1. The Licensee redistributing the data has verified with GMI that the proposed recipient has a valid license for the same or greater version of the product from which the redistributed material was derived.
    • 10.2. Recipients are notified of the nature of the modifications to the Data and Related Materials.
    • 10.3. Recipients are notified that the portions of the data derived from the Data and Related Materials remain subject to the terms of this license.
      A form suitable for providing the required notices is available from GMI on request.
  11. Publication and Distribution of Maps: Licensee may make, reproduce, and/or distribute cartographic representation of the Data and Related Materials, alone or in combination with other data, in printed or graphical file form, provided:
    • 11.1. The graphical file formats used do not contain nor are accompanied by geographic reference data usable in any Geographic Information System or map server.
    • 11.2. The licensee does not later add, or allow others to add, georeferencing information to the maps produced, and does not display, or allow others to display, maps produced using the Data and Related Materials in any other Geographic Information System than the license workstations(s), or on any map server allowing users control of the extent or composition of maps, including but not limited to adding or removing layers, combining with geographic data not included on the original maps, panning and zooming, changing spatial resolution, changing drawing characteristics or labeling of layers, or querying or linking based on attribute data.
    • 11.3. If language points or polygons are included in the map, the attribution "Language data from WLMS 19" must appear on the map.
    • 11.4. If data from other data collections is included on the map, the attribution "Geodata from" must appear on the map. This may be modified to read "Includes geodata from" if only some of the geodata appearing on the maps is from
    • 11.5. If maps are an integral part of a larger publication, and if the publication size or resolution of the maps does not reasonably allow inclusion of the above attributions in the map itself, attribution may be placed in text outside the map image, provided a clear reference (such as a hyperlink or footnote reference) to the location of the full attribution text is provided in or near the image. For maps appearing as screen-resolution images in HTML documents on the Web or other hypertext electronic publications, the attribution may appear in a separate document accessed by a hyperlink from the document(s) in which the map(s) appear(s).
  12. Other Documents Produced with Data and Related Materials: Database reports or other non-cartographic representations of data included in the Data and Related Materials may be produced and used for the internal planning purposes of the Licensee organization, provided:
    • 12.1. Documents are distributed only in print or print-equivalent electronic formats such as PDF.
    • 12.2. Documents are clearly marked "Internal Use Only Not for Publication or Distribution" and clearly identify source of the data.
  13. Other Reproduction Prohibited: Reproduction or redistribution of any portion of the Data and Related Materials or any derivative work in any printed or electronic form except as described above is prohibited without prior written permission from Global Mapping International, PO Box 63719, Colorado Springs CO 80962-3719 USA or
  14. Commercial Terms and Conditions for U.S. Government Use: This License Agreement contains GMI's commercial terms and conditions. Licensee's rights in the Software, Data, and Documentation are strictly limited to the uses granted by this License Agreement pursuant to FAR 12.211, FAR 12.212, and DFARS 227.7202. In the event any court, arbitrator, or board holds that the U.S. Government has greater rights to any portion of the Software, Data, or Documentation, such rights shall extend only to the portion(s) affected and use, duplication, or disclosure by the U.S. Government is subject to restrictions as provided in FAR 52.227-19 (June 1987), FAR 52.227-14 (ALT III) (June 1987), DFARS 252.227-7015 (NOV 1995), or NFS 1852.227-86 (December 1987), as applicable. No other license terms or conditions shall apply unless expressly agreed in writing by GMI and Licensee. GMI software, data, and project samples are unpublished and all rights reserved under copyright laws of the United States.

Limited Warranty and Limitation of Liability

For a period of 30 days from the date the Data and Related Materials are acquired by you, GMI warrants that the media upon which the Data and Related Materials resides will be free of defects that prevent you from loading the Data and Related Materials on your computer. GMI's sole obligation under this warranty is to replace any defective media, provided you have given GMI notice of the defect within such 30-day period. The Data and Related Materials are licensed to you on an "AS IS" basis without any warranty of any nature. GMI disclaims all other warranties, express or implied, including the warranties of merchantability and fitness for a particular purpose. GMI shall not be liable for any damage or loss of any kind arising out of or arising from your possession and use of the Data and Related Materials (including data loss or corruption), regardless of whether such liability is based in tort, contract, or otherwise. If the forgoing limitation is held to be unenforceable, GMI's maximum liability to you shall not exceed the amount of the license fees paid by you for the Data and Related Materials. The remedies available to you against GMI under this agreement are exclusive. Some states do not allow the limitation or exclusion of implied Warranties or liability for incidental and consequential damages, so the above limitations or other exclusions may not apply to you.
